Terms and Conditions Scope

These Terms and Conditions apply to all training products offered by Giovanna de Prat Salomone under the brand “Giovanna de Prat&CO” and, therefore, to all related services.
The offer is aimed at individuals and companies, i.e., natural persons, legal entities, or associations with legal capacity, who, based on the conclusion of a contract, act as part of their professional, commercial, or independent activity.
The business relationship between Giovanna de Prat Salomone and the corporate client shall be subject to the following General Terms and Conditions, which were in effect on the date of the order.
Giovanna de Prat Salomone will not recognize any possible terms and conditions of the corporate client that conflict with or deviate from these General Terms and Conditions unless expressly accepted in writing by Giovanna de Prat Salomone. The execution of the contracted services shall not imply the acceptance of conflicting conditions by the corporate client.

Contract

The basis of the contract is the offer presented by Giovanna de Prat Salomone on its website www.depratandco.com.
The contract shall become binding once this offer has been accepted by the corporate client in writing (written or email). Giovanna de Prat Salomone reserves the right to cancel the contract if it becomes impossible to execute it due to reasons beyond its control, despite reasonable efforts to fulfill it.

Intangible Services

Giovanna de Prat Salomone will provide its intangible services through distance communication (Online).

Usage Requirements

To use the contracted services, participants must have a valid email address and a suitable internet connection.

Payment and Due Date

Unless expressly agreed otherwise, Giovanna de Prat Salomone will invoice the corporate client for all contracted services at the time of purchase.
In case of non-receipt of payment at the time of contracting, the invoice amount shall be payable in full within a period of 30 days. At the expiration of the payment period, the client shall be in default without any warning.
If the client is in total or partial default with any outstanding payment, Giovanna de Prat Salomone shall have the right to set a payment deadline. If, after this period, the client continues to be in total or partial default, Giovanna de Prat Salomone reserves the right to refuse to provide all or part of the contracted services.

Returns and Refunds

The client is entitled to receive a refund as long as they have not attended any of the sessions that will be deducted, provided it is within the 14-day period, as established by the current regulations in Spain and the European Union. The refund will be made using the same method used for the original purchase. To request a refund, please contact us.

Warranty

Customers are entitled to statutory warranty rights. Giovanna de Prat Salomone shall not be in breach of the contractual services if the technical conditions on the part of the client are not met and cannot reasonably be created, or if the execution of the contractual services is impeded or impossible due to circumstances beyond the control of Giovanna de Prat Salomone, such as an interruption of the internet connection.

Applicable Law and Final Provisions

Spanish law shall apply, with the exception of the provisions of private international law and the UN Convention on Contracts for the International Sale of Goods (CISG).
If any individual provisions of this contract, including these Terms and Conditions, are or become invalid, or if the contract contains a gap, the validity of the remaining provisions shall not be affected. The relevant legal provisions shall apply instead of the invalid or missing provision.
If the client is a businessperson, a public entity, or a public fund, the fulfillment of this contract shall be subject to the jurisdiction of the courts of Barcelona.

The products or material developed for the client as part of a service (training or detailed concepts, scripts, documentation, etc.) shall remain the property of Giovanna de Prat Salomone. The client acquires a non-exclusive and non-transferable right to use the products or material during the contractual period for its use, modification, or reproduction. The client shall not have the right to use the material in any other way, in particular, to publish it or to use the material, its revisions, or improvements to develop or market competing products.
Giovanna de Prat Salomone guarantees that, in fulfillment of this contract, only programs, data, and documents for which it holds the corresponding rights will be used. Therefore, it also guarantees that its services are free from third-party rights and/or do not violate any copyrights.
